Terms of service

This is the agreement between you and Bridge Elevate that governs your use of Northpoint. We've written it to be read. If anything here is unclear, ask us before you agree to it.

1. Acceptance of these terms

By creating a Northpoint account, checking the agreement box at signup, or using the service, you agree to these terms and to our privacy policy. If you're signing up on behalf of a team or brokerage, you represent that you have the authority to bind that organization, and “you” includes it. If you don't agree with these terms, don't use Northpoint.

2. Who we are

Northpoint is a customer relationship management service for United States real estate agents and teams, operated by Bridge Elevate LLC, a Utah limited liability company (“Bridge Elevate”, “we”, “us”). You can reach us at support@northpointcrm.com.

3. Eligibility and your residency representation

Northpoint is a business tool. To use it you must be at least 18 years old and a resident of the United States in a state where the service is available (see section 10).

When you sign up, you attest to your state of residence. You represent that this is the US state where you actually reside, and you agree to keep it current in your account settings if you move. This representation is load-bearing: service availability, tax collection, and the privacy rights that apply to you all depend on it. Providing a false state of residence is a material misrepresentation under these terms and is grounds for termination of your account (section 12), with any refund at our discretion.

If the billing address on your payment method differs from the state you attested at signup, we treat the billing address as authoritative for your state of residence. Traveling — including outside the United States — doesn't affect your eligibility; you can sign in and use your account from wherever your work takes you. We don't monitor or block VPN use, but you agree not to misrepresent your residence or use technical means to circumvent our signup availability checks.

4. Accounts and workspaces

Your data in Northpoint lives in a workspace. The workspace owner controls the subscription, invites and removes members, assigns roles, and administers the workspace's data; work created in a workspace belongs to that workspace. You can be a member of more than one workspace, and each workspace's subscription governs your access within it.

You're responsible for keeping your credentials confidential, for the accuracy of the information on your account, and for activity that happens under your account. Tell us promptly at support@northpointcrm.com if you suspect unauthorized use.

5. Subscriptions, trials, and billing

Northpoint is sold as a per-workspace subscription with tiered plans, billed monthly or annually through Stripe, our payment processor. Current plans, prices, and seat limits are on the pricing page. Only owners and agents count toward a plan's seat limit; assistants and collaborators are free.

New workspaces start with a 14-day free trial. A payment method is collected when you choose a plan, and your subscription converts to paid automatically at the end of the trial unless you cancel before the trial ends. Subscriptions renew automatically at the end of each billing period until canceled. You can upgrade, downgrade, switch between monthly and annual, update your payment method, or cancel at any time from your workspace's billing settings; cancellation takes effect at the end of the current billing period. Prices don't include sales tax; where we're required to collect it, tax is added at checkout based on your billing address. If we change prices, existing subscribers keep their price for their current plan; we'll give you advance notice before any change that affects what you pay. If a payment fails, we'll retry it and give you a grace period to update your payment method before the workspace becomes read-only.

6. Refunds

Except where these terms or applicable law say otherwise, payments are non-refundable, and refunds are at our discretion. One exception is built in: if we determine after a payment that your workspace isn't eligible for the service under our state availability program (for example, your billing address is in a state where Northpoint isn't available), we'll cancel the subscription and refund that payment in full. 7. Your data is yours

The content you and your workspace members put into Northpoint — contacts, deals, tasks, notes, documents, appointments, and everything else — belongs to you. We claim no ownership of it. You grant us a limited license to host, process, transmit, back up, and display that content solely to operate, provide, secure, and support the service. We don't sell your data and we don't use your CRM content for advertising.

You can export your data at any time from Settings → Data → Export (CSV or JSON). If your subscription lapses, your workspace becomes read-only — your data is retained and export remains available. We may archive a workspace after a prolonged lapse, with notice before we do. [OWNER: confirm the archive timeline — the pricing page currently says a trial workspace without a payment method stays read-only for 30 days before archiving.]

You're responsible for the content you store. You represent that you have the right to store and use the personal information you keep about your contacts, and that your collection and use of it complies with the laws and professional obligations that apply to you.

8. Acceptable use

You agree not to:

  • break the law, or store or transmit content you have no right to;
  • probe, disrupt, or overload the service, or try to access data or workspaces that aren't yours;
  • resell, sublicense, or white-label the service without our written agreement;
  • scrape the service or use automated means to extract data beyond the export tools we provide;
  • misrepresent your identity or residence, or share seats to evade plan limits;
  • use the service to send spam or unlawful communications (see section 9).

9. Communications you send

Northpoint may offer features that help you communicate with your contacts, such as email and text messaging. You are solely responsible for the communications you send — including obtaining any required consent, honoring opt-outs and do-not-call registries, and complying with laws such as CAN-SPAM and the TCPA, along with any rules of your MLS, association, or brokerage. 10. Availability by state

Northpoint is available to residents of specific US states, and the list can change as we add support for state privacy and compliance regimes. Where you can sign up is determined at signup and checkout based on your attested state and billing address.

If your state moves from available to unavailable while you're a customer, we won't silently cut you off: your workspace continues to work for a 90-day wind-down period from the policy's effective date, during which you have full access to your data and the export tools. During the wind-down you can't create new workspaces or add seats. At the end of the wind-down your account is closed, with a 30-day recovery window before deletion in case you need to come back for your data.

Workspace availability follows the workspace owner's state. You may be invited to and work in a workspace whose owner is in an available state even if new signups aren't currently available in your own state; your individual privacy rights still apply to you personally (see the privacy policy).

11. Third-party services

Payments are processed by Stripe and subject to Stripe's terms. If you connect optional integrations — such as Google sign-in or calendar sync — your use of those services is governed by their own terms, and you can disconnect them at any time.

12. Suspension and termination

You can cancel your subscription at any time; cancellation takes effect at the end of the billing period, after which the workspace becomes read-only as described in section 7. We may suspend or terminate your account if you materially breach these terms — including misrepresenting your state of residence — if payment remains failed past the grace period, or if your use poses a security or legal risk to the service or other customers. Where practical, we'll notify you and give you a chance to fix the problem first, and we'll provide a reasonable window to export your data except where we're legally prevented from doing so.

13. Disclaimers

Northpoint is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the service will be uninterrupted, error-free, or that data will never be lost — keep exports of anything you can't afford to lose. Northpoint is a tool, not professional advice; you remain responsible for your own business, legal, and compliance decisions. 14. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for all claims arising out of or relating to the service is capped at the amounts you paid us for the service in the 12 months before the event giving rise to the claim. These limits don't apply where the law doesn't allow them. [LAWYER: review cap, carve-outs, and consumer-law limits.]

15. Indemnification

You'll defend and indemnify us against third-party claims arising from your content, your communications to your contacts, or your breach of these terms. [LAWYER: review — scope, procedure, and whether a mutual clause is appropriate.]

16. Governing law and disputes

These terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules, and disputes will be resolved in the courts located in Utah. [LAWYER: choose governing law and venue, and decide whether to include an arbitration clause and class-action waiver.]

17. Changes to these terms

We may update these terms as the product and the law evolve. If a change is material, we'll notify you — by email or in the app — before it takes effect, and the “last updated” date above will change. Continuing to use Northpoint after a change takes effect means you accept the updated terms. If you don't accept them, cancel your subscription and export your data before the change takes effect.
